Programme terms

Softhaven affiliate programme

Effective 25 August 2026. This operational draft should be reviewed by a Nigerian legal and tax professional before public launch.

Participation

The programme is for independent introducers who submit genuine prospective projects. Registration does not create employment, partnership, agency or authority to bind Softhaven, quote a final price, collect money outside an approved Softhaven invoice or make delivery promises on Softhaven's behalf.

Qualified opportunities and attribution

A submission should identify a real business need, an authorised contact, a reasonable budget and a usable brief. Softhaven may reject an opportunity or mark it as already known, unsuitable, unlawful, misleading or not commercially viable. Attribution is confirmed in the portal; the first submission alone does not guarantee ownership of a lead.

Project approval

No commission applies until Softhaven approves the scope, project value, payment plan, commission rate and eligible invoice categories. The approved project record replaces estimates entered during submission. The default programme rate is 10%, but a different rate may be agreed and displayed for a specific project before payment.

When commission is earned

Commission accrues only after Softhaven independently verifies a successful payment against the exact project invoice, amount, currency and reference. Unless the approved terms state otherwise, commission is calculated on commission-eligible amounts actually received, excluding failed or reversed payments, refunds, taxes, payment-processing charges, pass-through purchases, advertising spend, hosting, domains and third-party subscriptions.

Approval, payout and reversals

An accrued entry is not yet a completed payout. Softhaven reviews it for cleared funds, disputes, refunds and compliance before approval. A paid entry includes a payout reference. Where a client payment is refunded, reversed or charged back, the related commission may be reversed or offset against future amounts. The applicable payout schedule and method will be communicated in writing.

Client relationship and conduct

Affiliates must describe Softhaven and the programme accurately, protect confidential project information, avoid spam or harassment, disclose their financial interest where appropriate and comply with applicable marketing, privacy and anti-fraud requirements. Affiliates must not bid against Softhaven using confidential project information or move an approved portal project outside the agreed process.

Confidentiality and portal access

Project access is limited to authorised Softhaven staff, the recorded affiliate and the connected project owner. Users are responsible for their credentials and for information they upload. Commercial terms, client material and internal status information must not be shared with unauthorised parties.

Taxes and records

Affiliates are responsible for their own tax registration, filings and obligations. Softhaven may request identity, bank, tax or compliance information before payout and may retain payment and commission records where required for accounting, fraud prevention or legal compliance.

Suspension and termination

Softhaven may suspend or end access for fraud, misrepresentation, abuse, conflicts, unauthorised collection of client funds or breach of these terms. Properly accrued commission on valid cleared payments remains subject to review, reversals and any lawful set-off.

Changes, disputes and governing law

Material programme changes will be communicated through the portal or registered email. Project-specific written terms control where they conflict with this general page. These terms are governed by the laws of the Federal Republic of Nigeria. Questions or disputes should first be sent to info@softhaven.com.
